Job: Paralegal (M&A / Lending)

Type: Permanent, Full Time, In-Office
Location: Vancouver, BC, Canada

Opportunity

DuMoulin Black LLP is seeking an experienced Paralegal to join our growing business law team. This role will primarily support our Lending/Financial Services and Mergers & Acquisitions practices, while also assisting lawyers with General Corporate and Securities matters.

Primary Responsibilities:

Land Title Office and Personal Property Security Registries

  • Conducting and managing LTO and PPSA due diligence matters;
  • Well versed and experienced with the LTSA and PPSA regime;
  • Well versed in drafting mortgage and security documents, including, but not limited to, Form B Mortgages and Assignment of Rents, Guarantees, General Security Agreements;
  • Drafting ancillary documents, including but not limited to, closing agendas, certificates/ resolutions/ estoppel letters;
  • Preparing and filing Mortgages, Form Cs and other LTO documents;
  • Preparing and filing PPSA registrations, amendments, and discharges; and
  • Liaising with clients, financial institutions, and other counsel as required.

Mergers & Acquisitions Support

  • Assisting lawyers with private and public M&A transactions, including asset and share purchase transactions;
  • Responsibilities include due diligence (statutory lien searches), data room organization and minute book review, document management and facilitating closings;
  • Drafting closing agendas, authorizing resolutions, various certificates and ancillary documents (amalgamation agreements, bill of sale, assignments agreements, estoppel letters, consents, resignations etc); and
  • Coordinating document execution, tracking deliverables and maintaining organized transaction records.

Secondary Responsibilities:

Corporate and Securities Support

  • Preparing and filing corporate records and documents, including incorporations, share issuances, share transfers, changes in directors and officers, change in registered and records office; company change of name, amendments to authorized share capital, continuations, amalgamations, and dissolutions; and
  • Preparing and tracking corporate resolutions and routine corporate documentation; and
  • Assisting with securities filings and related regulatory documentation.

General Practice Support

  • Assisting with transaction management, document organization, and precedent maintenance; and
  • Support lawyers with corporate and commercial transactional work, including lending and financing matters.

Core Competencies

  • Understanding of real estate, secured transactions and M&A law and regulations;
  • Familiarity with secured lending and M&A transaction processes;
  • Time management, ability to coordinate multiple transactions simultaneously, track closing deliverables, and manage deadlines;
  • Exceptional document accuracy and quality control, particularly for mortgage, PPSA and corporate filings; and
  • Demonstrate sound judgment, discretion, and professionalism when handling confidential legal and client information.

Qualifications

  • Familiarity and experience with the LTSA and PPSA regime;
  • Minimum 2 years of experience as a real estate, financial services or commercial paralegal in a law firm;
  • Excellent attention to detail and organizational skills;
  • Ability to manage multiple files and deadlines in a fast-paced practice; and
  • Strong written and verbal communication skills.
